General terms and conditions of sale

1. Preliminary obligations before initiating the sales procedure

This document (together with all referenced and also available documents on the Website) sets out the conditions governing the sale of products and provision of services (hereinafter, the “General Sales Conditions”) through the Website www.irenelaprof.com (hereinafter, the “Website” or the “Page”).

By placing an order through the Website, the Buyer agrees to be bound by these General Sales Conditions, the Website’s Terms of Use, and our Privacy Policy and Cookie Policy (hereinafter, collectively referred to as the “Terms and Conditions”). If you do not agree with all the Conditions and Policies, you should not proceed with the purchase through this Website.

It is expressly stated that the Terms and Conditions have been prepared by IRENE LA PROFESSORA in accordance with applicable regulations, specifically in compliance with (i) Law 34/2002, of July 11, on Information Society Services and Electronic Commerce, (ii) European Regulation 679/2016 on Personal Data Protection, (iii) Organic Law 3/2018, of December 5, on Personal Data Protection and Digital Rights Guarantee, (iv) Andorran Law 29/2021, of October 28, on Personal Data Protection (“LQPDP”), (v) Royal Legislative Decree 1/2007, of November 16, approving the consolidated text of the General Law for the Defense of Consumers and Users and other complementary laws, (vi) Law 7/1998, of April 13, on General Contracting Conditions, Law 13/2013 of June 13 on Effective Competition and Consumer Protection, and any other applicable legislation.

The Terms and Conditions may be modified at any time, and it is the Buyer’s responsibility to review them periodically, as well as each time a product and/or service is purchased. The Terms and Conditions in effect at the time of use of the Website or conclusion of the Contract (as defined below) will apply.

The Terms and Conditions were originally drafted in Catalan, and the user accepts that the Catalan version will prevail over any version in another language.

2. Identifying information

These General Sales Conditions are entered into by:

  • On the one hand, IRENE LA PROFESSORA, with a registered office in Andorra la Vella (Canillo, AD100), at CG-2 Residencial Les Moles, Block C, with NRT F-391134W, email: info@irenelaprof.com, in its capacity as the owner of the Website and, in turn, the service provider and seller of the products offered through this Website, related to services provided in Andorra [sale of online Catalan courses] and outside the E.U. Hereinafter, IRENE LA PROFESSORA will be referred to as the “Company.”
  • And, on the other hand, by any person who acquires any of the products or services offered on the Page (hereinafter, referred to as the “Buyer” or “Buyers”).
  • The parties agree that their relationship will be governed exclusively by these General Sales Conditions, which are accessible on the Page and must, in any case, be accepted by the Buyer beforehand. In case of modification of the same by the Company, the conditions applicable to each Buyer will always be those accepted at the time of making the purchase. The Buyer, prior to the Sale and during the purchase process, may access, file, and print these General Sales Conditions for their reference.

3. Purpose of the contract 

The Company offers through the Website a service for the sale of Catalan courses in Spanish, French, and English, which will be detailed on the product listings available at any given time on the Website.

In this regard, the commercialization of products through the Website is exclusively intended for end consumers, in accordance with the provisions of Royal Legislative Decree 1/2007, of November 16, which approves the consolidated text of the General Law for the Defense of Consumers and Users and other complementary laws (hereinafter, the “TRLGDCU”).

These conditions therefore aim to regulate the commercial relationships that arise between the Company and the Buyers through the Website.


4. Purchase request

The Buyer declares to be of legal age and to have the legal capacity to make a purchase on the Website. The Buyer agrees to adhere to these General Sales Conditions.

The online purchase process involves several steps:

  1. The Buyer must access www.irenelaprof.com and connect to the store:
    • The Buyer has several options to find a course. They can visit the course section, which can be found at the top of the page if viewing from a desktop computer or at the top left if browsing from a mobile device. Alternatively, they can use the search engine provided on the Website.
    • Once the Buyer has found the desired course, they need to click on the image to view detailed information about the course and its features.
    • The Buyer should note that the image of the courses, their names, descriptions, and features are clearly and understandably displayed on the Website.
    • After selecting a course, the Buyer will see the selected course on the screen, including its description, information, and price.
    • If the Buyer wishes to continue shopping or browsing the online store, they should click the “back” arrow to view other courses.
    • If the Buyer wishes to add the course to their cart, they should click the “Finalize Registration” button. The Buyer will then see the courses in their cart and can change the quantity or remove items. To complete the purchase and validate the order, the Buyer must click the “Proceed to Checkout” button. On the next screen, the Buyer must fill in the billing details and finally click the “Place Order” button.
  2. Cart:
    • The Buyer can view the contents of the cart by clicking the “Finalize Registration” button.
    • In the cart, the Buyer will see the courses added to the virtual store and can change the quantity of any course or remove items. The price will be updated accordingly. Additionally, the Buyer can see the course title and any discounts applied, with the original price crossed out and the new price shown. At the bottom of the cart, the total number of selected courses and the total price will be indicated. To complete the purchase, the Buyer should click the “Proceed to Checkout” button.
    • Course prices may vary depending on whether they are discounted or promoted.
  3. Price:
    • The prices of the courses added and displayed in the cart are always subject to the prices published in the Company’s country, i.e., Andorra, and are exempt from foreign taxes.
  4. Sign in:
    • If the Buyer is a registered user, they should click the icon at the top right to enter their email and password.
    • If the Buyer is a “New User,” they will need to fill in the indicated fields with their personal information.
  5. Cart validation: review of cart data
    • Delivery Address: After logging in and clicking the “Continue” button, the Buyer will see their previously used addresses. One of them will be marked as a favorite, but it can be modified or another address selected by clicking “Edit” or “New Address.”
    • If the Buyer has not logged in or is not registered as a client, they must carefully complete and review the details in the form.
  6. Payment method:
    • Once the details are validated, the Buyer should click the “Place Order” button and proceed to payment. Currently, the Company offers the following payment methods:
      • Credit or debit card: For any amount. Only Visa, Mastercard, Visa Electron, and Maestro cards are accepted.
      • PAYPAL: For any amount through the Buyer’s PAYPAL account.
    • If the Buyer is satisfied with all the information regarding their order, they must click the “Place Order” button and check the box indicating acceptance of these General Sales Conditions and our Privacy Policy.
    • The buyer has the option to purchase this product through a payment plan divided into three installments. This option will be available during the checkout process and will incur the interest rates set by the company. The amount corresponding to each installment will be charged automatically according to the agreed schedule, providing a flexible solution tailored to the buyer’s needs.
  7. Payment:
    • The Buyer will be redirected through a secure connection. All purchases made through the Website are 100% secure. Bank details are transmitted to our servers encrypted via SSL (Secure Socket Layer) protocol and are sent in a completely secure environment to our bank without being recorded.
    • The Buyer will need to enter their bank details and then validate the purchase.
    • The Buyer will simultaneously receive a response from the bank, indicating whether the authentication request is accepted or denied. If accepted, the charge will be made to their account.
    • If the Buyer wishes to return to the main page of the Website, they should click the “Return to Main Page” option. This will close the secure connection and return them to the Website.
    • Once the payment is completed and the purchase process is finalized, the Buyer will receive an email confirming that their purchase has been received with the details of the transaction.
    • The order will only be valid once the payment has been accepted by the central card authorization network. Any financial expenses (such as bank charges related to exchange rates, banking fees for transactions outside the card’s issuing territory, and other bank charges) resulting from card payments will be borne by the Buyer and will be detailed in the price breakdown.

6. Courses

Courses offered through the Website are grouped into a wide variety of courses related to learning Catalan, which will be detailed in each case on the course information page available on the Website at any given time.

  • Courses are offered through the Website, subject to prior registration by the Buyer at www.irenelaprof.com (hereinafter referred to as the ‘Course’ or ‘Courses’).

The Company reserves the right to withdraw Courses from the Website at any time and to remove or modify any materials or content related to them.

7. Prices

The prices set on the Website include applicable taxes and fees for European Union member countries. For countries outside the European Union, prices are shown without including the relevant taxes and fees for the destination country, which must be paid by the Client at the time of delivery.

The Retail Price of the item will always be indicated at the time when the Buyer has completed the shopping cart, and the final purchase price will be communicated before completing the payment.

The Company reserves the right to modify the sale prices, which may be reviewed and changed at any time without prior notice if conditions require it.

We strive to provide accurate information on the Website without typographical or photographic errors, but if any such errors occur, which are not intentional, we will correct them immediately. In the case of a typographical error in any of the prices, descriptions, characteristics, or photographs of the courses, if a Buyer has made a purchase decision based on such errors, the Company will contact them to inform them of the error and cancel the purchase at no cost to the Buyer.

8. Responsibilities 

The Company will ensure that the contents, data, or information regarding the Courses offered on the Website are reliable, accurate, and exact, taking responsibility for the advertised prices and features. However, if any typographical error occurs in any of the prices, descriptions, characteristics, or photographs of the Courses, which is completely unintentional, and has led the Buyer to make a purchase decision based on such errors, the Company will contact them to inform them of the error and cancel the purchase at no cost to the Buyer.

The Company and Buyers will be responsible for violations they personally incur, leaving the opposing party indemnified against any error, fault, or negligence not attributable to them, and any harm resulting from such violations or errors attributable to the other contracting party.

The Company and Buyers agree to comply with their legal and contractual obligations arising from the current contract. If one party fails to meet any of its obligations or seeks to obstruct the other party from fulfilling its obligations, the other party will have the right to claim compensation for damages caused, including both actual damages and lost profits according to current legislation.

The Company will not be liable in the event of unavailability of the Courses or inability to provide the service due to causes beyond its control. Similarly, the Company will not be responsible in the case of inability to deliver the Courses due to force majeure, theft or loss, ordering errors, or data provided by the Buyer. However, in these cases, the Company will immediately contact the Buyer to find the best solution.

For the purposes of these General Sales Conditions, force majeure is understood to include, but not be limited to: (i) unforeseeable events or events that, if foreseeable, are unavoidable; (ii) damage caused by third parties unrelated to the Company affecting the quality of the Company’s courses and not attributable to it; (iii) strikes or labor disputes; (iv) epidemics or pandemics.

As long as the aforementioned cases are beyond the control and due diligence of the owner, there will be no entitlement to compensation from the Company to the Buyer for lost profits, damages, or losses.

If any of these General Sales Conditions are declared null and void by a final ruling from a judicial authority or any other competent authority, the remaining terms and conditions will remain in effect and will not be affected by this declaration of nullity.

9. License for Access to the Site

The Company grants a limited license to access and use the Website for the purpose of viewing the courses offered and making desired purchases. This license does not confer the right to upload or modify any content on the Website without the Company’s express authorization.

This license does not permit any other use, particularly commercial use, of the Website or its content (including products, descriptions, prices, data, software, audio excerpts, graphics, images, photographs, among others).

All content on this Website, including texts, trademarks, distinctive signs, logos, images, graphics, and designs, is the property of the Company and is protected by current intellectual property and industrial property legislation.

10. Protection of personal data 

In compliance with Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, on the protection of individuals with regard to the processing of personal data and on the free movement of such data (GDPR), and Organic Law 3/2018 of December 5, on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD), and Andorran Law 29/2021 of October 28, on Personal Data Protection (LCPDP), we inform you that the personal data you provide will be processed by IRENE LA PROFESSORA as the Data Controller, for the purpose of identifying you as a Buyer of our courses, formalizing the sale, and maintaining a history of your record. IRENE LA PROFESSORA is committed to taking the necessary measures to ensure the security and confidentiality of your data.

We also inform you that IRENE LA PROFESSORA will act as the Data Controller during the purchase process to manage your registration as a user of the website.

Bank details, protected by encryption, do not pass through our systems and therefore are not in the possession of the Company. If we decide to modify the terms of our commitment, we will indicate the changes on this page to always clarify the information we hold, its use, and the conditions of its transfer.

The Company relies on the Buyer’s cooperation to keep your data duly updated. Furthermore, personal data will be retained only for as long as necessary to achieve the purpose for which it was collected and as long as the cause justifying the processing of this data remains. Once the cause justifying the processing is concluded, personal data will be properly blocked and retained for the time necessary to comply with legal prescription periods to avoid potential infringements.

You can exercise your rights of access, rectification, deletion, restriction, portability, or opposition to the processing of your data by sending a communication via email to info@irenelaprof.com, attaching a copy of your ID card or other equivalent identification document.

12. Applicable law and competent jurisdiction

These General Terms and Conditions are governed by the laws of the Principality of Andorra and the courts and tribunals of the domicile of IRENE LA PROFESSORA, which corresponds to the consumer’s domicile.
